Nestlé has agreed to acquire core vitamin brands of The Bountiful Company from investment firm KKR for a consideration of $5.75bn.
The deal will add Nature’s Bounty’s brands such as Solgar, Osteo Bi-Flex and Puritan’s Pride as well as US private label business to Nestlé’s health and nutrition portfolio.
Over the last 12 months, these brands generated $1.87bn in net sales.
However, Bountiful’s sports and active nutrition brands including Pure Protein, Body Fortress, MET-Rx, Dr.Organic and the Canadian over-the-counter (OTC) business are not part of the deal.
Nestlé Health Science CEO Greg Behar said: “Vitamins and supplements are a key part of our business and have contributed to strong growth acceleration. This acquisition complements our existing health and nutrition portfolio in terms of brands and channels.”
Subject to regulatory approvals and other customary closing conditions, the deal is expected to close in the second half of this year.
The Bountiful Company president and CEO Paul Sturman said: “Today’s announcement from Nestlé Health Science recognises the transformation of The Bountiful Company over the past 3+ years, as well as the collective value and capability of the organisation.”
Upon completion of the transaction, the brands will be part of Nestlé Health Science, whose brand portfolio includes Garden of Life, Vital Proteins, Pure Encapsulations, Wobenzym, Persona Nutrition, Genestra, Orthica, Minami, AOV and Klean Athlete.
In August 2020, Nestlé Health Science (NHSc) agreed to purchase IM HealthScience (IMH) business along with its brands, including IBgard, FDgard, Fiber Choice and REMfresh.
