Riverbend Foods has signed a definitive agreement to acquire TreeHouse Foods’ soup and infant feeding (SIF) business, which manufactures condensed and ready-to-serve soup, baby food, and gravy packaged in cans, glass jars and Tetra Recart^® formats.

Riverbend Foods is a subsidiary of private equity firm Insight Equity Holdings, while TreeHouse Foods is a packaged food and beverage producer.

Harris Williams & Co. is the financial adviser for Riverbend Foods, Winston & Strawn is the legal adviser to TreeHouse Foods, while Insight Equity engaged Hunton & Williams LLP as the legal adviser for the transaction.

US-based company Dole Food Company has announced the filing of S-1 form with the Securities and Exchange Commission (SEC) for issue of common stock shares in a public offering to raise up to $100m.

Dole is involved in the production and distribution of fresh fruit and vegetables.

Underwriters for the offering are Morgan Stanley, Merrill Lynch & Co and Deutsche Bank, while Gibson, Dunn & Crutcher LLP was engaged as legal advisers.
